About this example
This example is a consulting agreement between a small operations consultancy and a food manufacturer for a 12-week warehouse improvement engagement. The body sets the terms in twelve plain-language clauses, and three schedules carry the details: the services and deliverables, the fixed fee for each phase, and the team and meetings.
Consulting engagements go wrong at the edges, so this agreement is clear about them. The scope schedule lists what is out as well as what is in, and states the business goal. Fees are fixed per phase and invoiced when each phase's deliverables are accepted, with travel expenses capped. The client owns the deliverables once paid while the consultant keeps its methods, staff cannot be poached for a year, liability is limited to the fees, and either side can end the agreement with 14 days' notice.
Who it is for
Independent consultants and consulting firms that agree fixed-fee or phased engagements with business clients.
